1. Introduction & Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Subscriber," "you," or "your") and Valery Technologies Inc. ("Valery Technologies," "Homies," "we," "us," or "our"), a corporation incorporated under the laws of the Province of Ontario, Canada, governing your access to and use of the Homies service (the "Service").
By creating an account, subscribing to the Service, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not create an account or use the Service.
Our Privacy Policy is incorporated into these Terms by reference.
You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction (whichever is greater), to use the Service.
These Terms apply to you as the Subscriber and extend to cover any individuals whose personal data you process through the Service, including your clients, leads, and other contacts. You are responsible for ensuring that your use of the Service in relation to such individuals complies with these Terms and all applicable laws.
2. Definitions
"Service" means the Homies subscription offering in its entirety, including all software, tools, features, integrations, infrastructure, websites, and support provided by Homies to the Subscriber, as described on our website and in the applicable subscription agreement. The Service may be updated, modified, expanded, or reduced at our discretion.
"Subscriber" means the individual or entity that has registered for an account and subscribed to the Service.
"AI Assistant" means the artificial intelligence software deployed as part of the Service that can generate content, draft communications, access integrated services, and perform automated tasks on behalf of the Subscriber.
"Content" means any text, images, data, files, communications, reports, videos, audio, or other materials created, uploaded, transmitted, or generated through the Service.
"Subscriber Content" means Content that the Subscriber provides, uploads, or inputs into the Service, including personal information, branding assets, media, and business information.
"AI-Generated Content" means any Content produced, in whole or in part, by the AI Assistant.
"Third-Party Services" means any services, platforms, APIs, software, or data sources not owned or operated by Homies that are integrated with or accessible through the Service.
3. Early Access
The Service is currently in an early access period. During this period:
(a) Features, functionality, and integrations may be added, modified, or removed at any time without prior notice. The current feature set does not represent a commitment to future availability of any particular feature.
(b) The Service is provided with even fewer warranties than would apply to a generally available product. You accept the Service in its current state, understanding that it may contain bugs, errors, or incomplete features.
(c) Early access status does not affect your payment obligations under these Terms.
(d) Homies may transition the Service to general availability at any time with notice.
(e) Any feedback, suggestions, or input you provide may be used by Homies to improve the Service without obligation or compensation to you.
4. The Service
Homies provides a managed AI assistant subscription service designed for licensed real estate professionals. The Service includes dedicated computing infrastructure, AI-powered tools and automations, a management dashboard, integrated third-party services, and related features as described on our website and in the applicable subscription agreement.
The Service is a professional tool designed to assist your real estate practice. It is not a replacement for your professional judgment, expertise, or regulatory obligations. The AI Assistant operates under your supervision and direction. It is not an independent agent, employee, contractor, or representative of you or your brokerage. You maintain full responsibility for all professional decisions and client interactions.
The specific features, tools, integrations, and resources included in your subscription are as set forth in your subscription agreement and on our website, and may change from time to time.
5. Account Registration & Eligibility
(a) Eligibility. The Service is intended for licensed real estate professionals in good standing with their applicable regulatory body. By registering, you represent and warrant that you hold a valid real estate license in your jurisdiction.
(b) Registration Information. You must provide accurate, current, and complete information during registration and promptly update it if it changes. Providing false or misleading information is grounds for immediate termination.
(c) Onboarding. Completion of an onboarding process with the Homies team may be required as a condition of Service activation. During onboarding, you will be required to acknowledge the risks, limitations, and responsibilities associated with AI-assisted tools in a regulated real estate practice.
(d) Account Security. You are solely responsible for maintaining the confidentiality of all credentials associated with your Account, including login credentials, remote access credentials, and API keys.
You are responsible for all activity that occurs under your Account, including any actions taken by the AI Assistant.
(e) Non-Transferability. Accounts are non-transferable and may not be shared with, sold to, or assigned to any other individual or entity.
6. Subscription, Billing & Payment
(a) Fees. The subscription fees for the Service are as set forth in your subscription agreement and on our website. Your subscription automatically renews at the end of each billing period unless cancelled before the end of the current period.
(b) Payment. A valid payment method is required. By providing payment information, you authorize Homies to charge the applicable fees and any additional charges to your payment method on a recurring basis.
(c) Credits and Usage. Your subscription may include usage credits (such as AI/LLM credits) that are consumed as part of your use of the Service. Credits included in your subscription are for the current billing period only and do not carry over. Additional credits purchased as top-ups are non-refundable and do not expire. Specific credit amounts, pricing, and usage terms are as set forth in your subscription agreement.
(d) No Refunds. All subscription fees and credit purchases are non-refundable. If you cancel your subscription, you will retain access to the Service until the end of your current billing period.
(e) Failed Payments. If a payment fails, you will have a grace period to resolve the outstanding balance. If payment is not received within this period, Homies reserves the right to suspend your access to the Service.
(f) Taxes. Fees are exclusive of applicable taxes. You are responsible for all applicable taxes in your jurisdiction. Homies will collect and remit taxes where required by law.
(g) Pricing Changes. Homies reserves the right to change fees or pricing structure with at least thirty (30) days' advance notice. If you do not agree with new pricing, you may cancel before it takes effect.
7. AI-Generated Content — Disclaimers and Limitations
This section contains critical disclaimers regarding AI-generated content. Please read it carefully.
The AI Assistant generates content based on statistical patterns in training data, information you provide, and data accessed through integrated services. The AI Assistant does not possess human judgment, professional expertise, or the ability to independently verify facts.
(a) Review Obligation.
YOU MUST REVIEW ALL AI-GENERATED CONTENT BEFORE USING, PUBLISHING, SENDING, OR RELYING UPON IT. THE AI ASSISTANT MAY PRODUCE CONTENT THAT IS INACCURATE, INCOMPLETE, MISLEADING, BIASED, OUTDATED, OR INAPPROPRIATE. YOU ARE SOLELY RESPONSIBLE FOR ANY CONTENT YOU PUBLISH, SEND, OR OTHERWISE DISTRIBUTE, REGARDLESS OF WHETHER IT WAS GENERATED BY THE AI ASSISTANT.
(b) Errors and Hallucinations. AI models may produce outputs that appear authoritative but contain factual errors, fabricated information ("hallucinations"), logical inconsistencies, or inappropriate content. The AI Assistant may present false information as fact.
(c) Communications. Any communications drafted or sent by the AI Assistant on your behalf — including emails, social media posts, messages, and other correspondence — must be reviewed by you. Regardless of any default safeguards or review modes offered by the Service, you are solely responsible for the content, accuracy, and recipients of all communications.
(d) Reports and Analyses.
AI-GENERATED REPORTS, ANALYSES, VALUATIONS, AND MARKET DATA ARE COMPUTATIONAL ESTIMATES ONLY. THEY ARE NOT PROFESSIONAL APPRAISALS AND SHOULD NOT BE REPRESENTED AS SUCH TO CLIENTS OR THIRD PARTIES. YOU MUST INDEPENDENTLY VERIFY ALL DATA AND CONCLUSIONS BEFORE RELYING UPON OR SHARING SUCH OUTPUTS.
(e) Training Data Limitations. AI models are based on training data with a knowledge cutoff. The AI Assistant may not reflect current market conditions, regulations, or recent developments.
(f) Not Professional Advice.
THE SERVICE DOES NOT CONSTITUTE, AND SHOULD NOT BE RELIED UPON AS, LEGAL ADVICE, FINANCIAL ADVICE, TAX ADVICE, APPRAISAL SERVICES, OR PROFESSIONAL REAL ESTATE ADVICE. THE AI ASSISTANT IS A TOOL TO ASSIST YOUR PRACTICE, NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT.
8. User Responsibilities
(a) Content Review. You must review all AI-Generated Content before publishing, sending, distributing, or relying upon it.
(b) Regulatory Compliance. You must comply with all applicable real estate regulations, licensing requirements, and professional conduct standards in your jurisdiction.
(c) Data Display and Usage Rules. Where the Service provides access to regulated data sources (such as MLS listings), you are responsible for ensuring compliance with all applicable data display rules, permission restrictions, and usage policies. The AI Assistant may not automatically enforce all such requirements.
(d) Privacy and Consent. You must obtain all necessary consents before processing third-party personal information through the Service, including personal information of your clients, leads, and contacts.
(e) Information Accuracy. You are responsible for ensuring the accuracy of information you provide to the AI Assistant.
(f) Professional Insurance. You must maintain professional liability insurance as required by your regulatory body and brokerage.
(g) Acceptable Use. You must comply with the Acceptable Use Policy in Section 9.
(h) Reporting. You agree to promptly report any AI behavior that appears harmful, unethical, discriminatory, or in violation of professional standards.
You are a licensed professional in a regulated industry. The Service is a tool to assist your practice. All regulatory, ethical, and professional obligations remain yours.
9. Acceptable Use Policy
You agree not to use the Service for any of the following purposes:
(a) Violating any applicable law, regulation, or ordinance.
(b) Housing discrimination on any basis protected by the Fair Housing Act (US), the Canadian Human Rights Act, provincial human rights legislation, or any other applicable anti-discrimination law — including using the AI Assistant to generate discriminatory content or to engage in steering, redlining, blockbusting, or any other discriminatory practice.
(c) Harassing, threatening, intimidating, stalking, defaming, or deceiving any person.
(d) Sending unsolicited bulk communications in violation of CASL, CAN-SPAM, or other applicable anti-spam laws.
(e) Circumventing or interfering with spending limits, rate limits, security measures, access controls, metering systems, or any other safeguard.
(f) Uploading or distributing malicious code, malware, or harmful technology.
(g) Infringing intellectual property rights of any third party.
(h) Engaging in fraudulent, deceptive, or misleading practices, including misrepresenting property conditions or concealing material facts.
(i) Using voice, likeness, or identity synthesis features to impersonate another person without their explicit written consent.
(j) Sharing access credentials with unauthorized persons.
(k) Using the infrastructure provided as part of the Service for purposes unrelated to your real estate practice.
(l) Engaging in excessive or abusive consumption of shared resources in a manner that degrades the Service for other subscribers. Homies reserves the right to impose reasonable usage limits.
Homies may investigate suspected violations and suspend or terminate your Account for confirmed violations.
10. Dedicated Infrastructure & Modifications
(a) Infrastructure. As part of your subscription, you may receive access to dedicated computing infrastructure. This infrastructure remains the property of Homies or its hosting provider. Your subscription grants you a limited right to use it for the duration of your subscription.
(b) Permitted Modifications. You may customize your AI Assistant's configuration, install additional capabilities, and modify settings within the scope permitted by the Service. Modifications are at your own risk.
(c) Paid Restoration. If your modifications cause service disruption, instability, or other issues, restoration is available as a paid support service.
(d) Updates. Homies may push software updates, security patches, and system updates to your infrastructure. Critical security patches may be applied without advance notice.
(e) Restrictions. You may not tamper with billing systems, credit metering, usage tracking, security configurations, or access controls. Any such tampering constitutes a material breach of these Terms.
11. Intellectual Property & Content Ownership
(a) Subscriber Content. You retain full ownership of all Subscriber Content. Nothing in these Terms transfers ownership of your Subscriber Content to Homies.
(b) AI-Generated Content. Subject to the terms of the underlying third-party AI model providers, you own the AI-Generated Content created through your use of the Service. We do not claim ownership of AI-Generated Content produced on your behalf. However, AI-Generated Content may incorporate elements derived from training data, and we cannot guarantee that such outputs are entirely original or non-infringing. You are responsible for ensuring your use of AI-Generated Content does not infringe third-party rights.
(c) Platform IP. The Service — including all software, models, platform technology, interfaces, and documentation — is the exclusive property of Valery Technologies Inc. and its licensors. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your real estate practice.
(d) License to Subscriber Content. You grant Homies a limited, non-exclusive, royalty-free license to use your Subscriber Content solely as necessary to provide the Service. This license terminates upon deletion of your content or termination of your Account.
(e) No Training Use. We will not use your Subscriber Content to train AI models, for marketing, or for any purpose other than providing the Service, except in anonymized and aggregated form for general Service improvement.
12. Third-Party Services & Integrations
(a) Integration Scope. The Service integrates with various Third-Party Services to provide its functionality, including but not limited to AI model providers, CRM platforms, email providers, social media platforms, data providers, payment processors, hosting providers, and other tools and services.
(b) Third-Party Terms. Each Third-Party Service is governed by its own terms and privacy policies. By using features that rely on Third-Party Services, you agree to comply with their applicable terms.
(c) No Responsibility. Homies is not responsible for the availability, accuracy, reliability, security, or performance of any Third-Party Service. Third-party platforms may change their APIs, terms, policies, or access mechanisms at any time. Account restrictions, bans, or other consequences imposed by third-party platforms are not the responsibility of Homies.
(d) Credentials. You are responsible for maintaining valid credentials for connected Third-Party Services. Credentials stored within the Service may be accessible to the AI Assistant during operation. While we apply spending caps and access controls, you acknowledge the inherent risk of providing credentials to an AI system. You should regularly monitor third-party service usage and billing.
(e) Continuity. If a Third-Party Service becomes unavailable, Homies will make reasonable efforts to provide alternatives but cannot guarantee continuity of any specific integration.
13. Regulatory Compliance
(a) Obligations Unaffected. Your use of the Service does not modify, diminish, or replace any regulatory obligations you have as a licensed real estate professional.
(b) Canadian Compliance. If you practice in Canada, you are responsible for compliance with applicable provincial regulations, CREA rules, CASL, PIPEDA, and applicable provincial privacy legislation.
(c) US Compliance. If you practice in the United States, you are responsible for compliance with applicable state licensing rules, the NAR Code of Ethics (if applicable), the Fair Housing Act, CAN-SPAM, TCPA, and state-specific requirements.
(d) Advertising. All marketing materials and communications — whether AI-generated or otherwise — must comply with the advertising regulations of your jurisdiction, including brokerage identification and truthful representation requirements.
(e) Data Source Compliance. Where the Service provides access to regulated data sources (such as MLS data), you are solely responsible for ensuring compliance with all applicable rules, including display restrictions, attribution requirements, and data use limitations. The AI Assistant may not enforce all such rules automatically.
(f) Anti-Money Laundering. You are solely responsible for compliance with applicable AML/KYC obligations, including FINTRAC (Canada) and FinCEN (US) requirements.
(g) No Compliance Advice. Homies does not provide legal, regulatory, or compliance advice. If you are uncertain about your obligations, consult a qualified legal professional.
14. Biometric Data & Likeness Technology
(a) Consent. The Service may offer features that use your voice samples, facial images, or other biometric data to generate content. Use of these features requires your explicit, informed consent at the time of data collection — separate from your acceptance of these Terms.
(b) Limited Use. Biometric data will be used solely for generating content on your behalf. It will not be shared with other subscribers or used for any other purpose.
(c) No Impersonation. You must not use identity synthesis features to create content that impersonates another person without their explicit written consent.
(d) Disclosure. Depending on your jurisdiction, AI-generated content using voice or likeness synthesis may require disclosure. Compliance is your responsibility.
(e) Deletion. You may request deletion of your biometric data at any time through your account settings or by contacting us.
15. Data & Privacy
(a) Privacy Policy. Our Privacy Policy describes in detail how we collect, use, store, share, and protect your information.
(b) Data Storage. Your data may be stored across multiple jurisdictions in the course of providing the Service, including infrastructure in the United States and databases in Canada. Third-party AI providers may process data in various jurisdictions. See our Privacy Policy for details.
(c) AI Data Practices. We do not authorize AI model providers to use your data for training their models. Conversation history is stored on your dedicated infrastructure.
(d) Lead Data. Any lead or visitor data collected through websites or tools operated on your behalf is your data, subject to your own privacy obligations under applicable law. You are responsible for handling such information in accordance with applicable privacy laws, including obtaining any necessary consents.
16. Limitation of Liability
THIS SECTION CONTAINS IMPORTANT LIMITATIONS ON OUR LIABILITY. PLEASE READ IT CAREFULLY.
(a) THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HOMIES DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
(b) IN NO EVENT SHALL HOMIES, VALERY TECHNOLOGIES INC., OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY LOSSES, DAMAGES, OR CLAIMS ARISING FROM: (i) AI-GENERATED CONTENT THAT IS INACCURATE, INCOMPLETE, MISLEADING, OR INAPPROPRIATE; (ii) ACTIONS TAKEN BY THE AI ASSISTANT ON YOUR BEHALF; (iii) UNAUTHORIZED ACCESS TO OR USE OF YOUR INFRASTRUCTURE OR ACCOUNT; (iv) THE UNAVAILABILITY OR MALFUNCTION OF THIRD-PARTY SERVICES; (v) YOUR FAILURE TO REVIEW AI-GENERATED CONTENT BEFORE USE; OR (vi) REGULATORY NON-COMPLIANCE ARISING FROM YOUR USE OF THE SERVICE.
(c) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF HOMIES AND VALERY TECHNOLOGIES INC. FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
(d) IN NO EVENT SHALL HOMIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE.
(e) Nothing in this section excludes or limits liability that cannot be excluded under applicable law, including liability for gross negligence, willful misconduct, fraud, or liability under applicable consumer protection legislation.
17. Indemnification
You agree to indemnify, defend, and hold harmless Valery Technologies Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service, including actions taken by the AI Assistant
- AI-Generated Content that you publish, send, or distribute
- Your violation of these Terms, any applicable law, or any third-party right
- Your processing of third-party personal information through the Service
- Claims by clients, regulatory bodies, data providers, or professional associations arising from your use of the Service
18. Dispute Resolution
(a) Governing Law. These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
(b) Informal Resolution. Before initiating formal proceedings, you agree to first attempt to resolve any dispute through good-faith negotiation for a period of thirty (30) days after sending written notice to Homies.
(c) Binding Arbitration. If the dispute cannot be resolved informally, it shall be finally resolved by binding arbitration conducted in Toronto, Ontario, administered in accordance with applicable Canadian arbitration rules. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
(d) Small Claims Court. Either party may bring an individual action in small claims court if the claim falls within its jurisdictional limits.
(e) Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If you are a resident of Quebec, this waiver applies only to the extent permitted by the Quebec Consumer Protection Act.
(f) Language. All proceedings shall be conducted in English.
19. Termination & Cancellation
(a) Subscriber Cancellation. You may cancel at any time through the dashboard. Cancellation takes effect at the end of your current billing period. No pro-rata refunds will be issued.
(b) Termination by Homies. Homies may suspend or terminate your Account for violation of these Terms. Except in cases of egregious violations, Homies will provide notice and a reasonable opportunity to cure.
(c) Data Export. Upon cancellation or termination, you will have thirty (30) days to export your data. After this period, your infrastructure will be decommissioned and your data permanently deleted, except as required for legal, regulatory, or business purposes as described in our Privacy Policy.
(d) Surviving Provisions. Sections 7 (AI Disclaimers), 11 (IP), 16 (Liability), 17 (Indemnification), 18 (Disputes), and 22 (General Provisions) survive termination.
20. Changes to Terms
(a) Homies may modify these Terms at any time.
(b) Material changes will be communicated at least thirty (30) days before taking effect via email or dashboard notification.
(c) Continued use after the effective date constitutes acceptance. If you disagree, cancel before the effective date.
(d) Non-material changes (typographical corrections, clarifications) may be made without advance notice.
21. Force Majeure
Neither party shall be liable for failure or delay caused by circumstances beyond reasonable control, including natural disasters, pandemics, war, terrorism, government actions, internet outages, third-party service failures, AI provider outages, data feed interruptions, hosting provider failures, power outages, cyberattacks, or labor disputes.
If a force majeure event continues for more than sixty (60) days, either party may terminate the affected services upon written notice.
22. General Provisions
(a) Severability. If any provision is held invalid, it shall be modified to the minimum extent necessary or severed without affecting the remaining provisions.
(b) Entire Agreement. These Terms, together with the Privacy Policy, subscription agreement, and any supplemental agreements, constitute the entire agreement between the parties.
(c) No Waiver. Failure to enforce any provision is not a waiver.
(d) Assignment. You may not assign these Terms. Homies may assign in connection with a merger, acquisition, or sale of assets.
(e) Notices. Notices to you will be sent to the email on your Account. Notices to Homies should be sent to the contact information in Section 23.
(f) Independent Contractors. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship.
(g) Language. In the event of conflict between the English version and any translation, the English version prevails.

By creating an account, subscribing to the Service, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
